Specifically, the firm assisted a well-known company, leader in the international market for the production of lighting fixtures, in a dispute against one of its former employees for the ascertainment of a non-competition covenant violation, obtaining, after a lengthy processual investigation, the verification of the validity of the covenant and of its breach by the former employee.

The Court of Brescia sentenced the former employee to reimburse in full what he had received as a result of the non-competition covenant and to pay the penalty stipulated within the same covenant.

On 29th October 2012, the European Commission upheld Studio Bandera’s complaint by imposing an anti-dumping duty for the duration of five years.

In June 2017, in preparation for the expiry of the anti-dumping duty, Studio Bandera assumed again the defense of the association AIRAL Scrl, by preparing a complex motion for the duty renewal in order to prevent the risk of recurrence of injury to the Union Industry.

On 15th January 2019, the Implementing Regulation was published in the Official Journal of the European Union, reimposing an anti-dumping duty on aluminium radiators, a measure designed to protect EU production from the unfair competition of Chinese companies.

The measure exactly replicates the one implemented in 2012 and will once again have a five-year duration: the anti-dumping duty ranges between 12.6 % and 61.4 % applicable to the net price.

Among the latest favorable provisions obtained is the one pronounced by the “Arbitro per le Controversie Finanziarie (ACF)”, established by Consob.

In this case, the firm successfully defended an account holder who had to incur the total depreciation of Veneto Banca shares acquired as a result of the intermediary’s negligent conduct.

Specifically, the Board upheld all of Studio Bandera’s claims and declared Veneto Banca liable to pay damages to the plaintiff, for the breach described, in the amount equal to the full value of the shares acquired, as well as legal interest and appreciation.

The ruling is of interest not only because of the positive outcome obtained in favour of the account holder but also because of the reasons and observations made by the Judicial Panel, which in fact censured the actions of Veneto Banca also for its failure to provide correct information on the characteristics and inherent risks of illiquid stocks.

The following is an excerpt from the ruling:

“Accepting the appeal, the Board declares the intermediary obliged to compensate the plaintiff for the damages and the breach described in the narrative, for the total amount, thus including monetary revaluation up to the date of the decision, of € […], in addition to statutory interest from the same date until the day of payment, and sets the deadline for execution at thirty days from receipt of the decision. Within the same time limit, the intermediary shall notify the ACF of the actions carried out in order to comply with the decision, pursuant Article 16, paragraph 1, of the regulation adopted by Consob with Resolution No. 19602 of 4th May 2016. The intermediary is required to pay Consob the sum of € […], pursuant Article 18, paragraph 3, of the aforementioned regulation, adopted by resolution No. 19602 of 4th May 2016, in the manner indicated on the institutional website www.acf.consob.it, “Intermediaries” section ”.

In 2011, Studio Bandera, on behalf of the international association of aluminium radiators manufacturers, AIRAL Scrl, filed an anti-dumping complaint relative to the imports into the EU of aluminium heating radiators originating in the People’s Republic of China.

On 9th November 2017, the European Commission accepted Studio Bandera’s motion for renewal of the anti-dumping duty with notice no. 2017/C 377/11. Following this, a notice of initiation of an expiry review of measures applicable to imports of certain types of aluminum radiators originating in the People’s Republic of China was published in the Official Journal of the European Union.

The investigation into the persistence or reiteration of dumping will cover the period from 1st October 2016, to 30th September 2017, and will be concluded within a maximum period of 15 months from the date of publication (9th November 2017) of the above notice in the Official Journal of the European Union.

“Studio Bandera Legale Societario Tributario” assisted Fait Plast SpA, a Brescia-based company and international leader in the production of thermoplastic films, in the M&A transaction finalised by Orca Development, a French-registered company controlled by the listed private equity fund Idi and the Edmond de Rothschild Group.

The acquisition contract was signed in May 2017, while the closing was finalized in June, 2017.

Fait Plast SpA shareholders, Guido Arici and Pierluigi Beltrami, reinvested in the operation.

The operation is part of a broader strategy aimed at creating a European leader capable of establishing itself in global markets thanks to its technical expertise and expanding commercial network.

Studio Bandera’s multidisciplinary team involved in the transaction includes professionals from the legal area for aspects related to the transaction organisation and negotiation, and from the tax and fiscal area for aspects of economic evaluation also in a prospective sense.

The acquiring party was assisted by the international firm Hogan Lovells.
